By accessing or using the Nyctof mobile application, website at nyctof.com, or any related services (collectively, the "Service") operated by Nyctof, Inc. ("Nyctof," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
You must be at least 19 years of age in Ontario, or the age of majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this requirement.
Access to the Service is by invitation or approval only. Submitting an application does not guarantee access. Nyctof reserves the sole right to approve or deny any application at its discretion, without obligation to provide a reason.
To use certain features of the Service, you must create an account. You agree to:
You may not share, transfer, or sell your account to another person. Each account is personal and non-transferable.
Nyctof offers multiple membership tiers with varying levels of access and features. Tier availability, pricing, and benefits are subject to change at our discretion. Free beta access and Founding Member benefits are offered for a limited time and may be modified or discontinued.
Paid subscription fees, if applicable, are billed in advance on a recurring basis. You may cancel your subscription at any time, but refunds are not provided for partial billing periods.

Your content: You retain ownership of content you submit through the Service. By submitting content, you grant Nyctof a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and improving the Service.
Our content: The Service and its original content, features, functionality, design, and branding are owned by Nyctof, Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content without prior written permission.
Certain features of the Service require access to your device's location. By enabling location services, you consent to the collection and use of your location data as described in our Privacy Policy. You may disable location services at any time through your device settings or Ghost Mode, though this may limit certain features.
The Service includes safety features such as the SOS emergency button. These features are provided as tools to assist you and are not a substitute for emergency services. In an emergency, always contact local emergency services (911 or your local equivalent) directly. Nyctof is not responsible for the outcome of any emergency situation.
The Service may offer in-app purchases, including but not limited to Toasts, Profile Boosts, Night Passes, and subscription upgrades. All purchases are processed through the Apple App Store and are subject to Apple's terms and refund policies. Purchases are non-transferable and generally non-refundable unless required by applicable law.
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to violation of these Terms, conduct that we determine is harmful to other users or the Service, or inactivity.
You may delete your account at any time through the app settings. Upon deletion, your personal information will be removed in accordance with our Privacy Policy.
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.
Nyctof does not verify the identity or background of its users beyond the application review process. You are solely responsible for your interactions with other users. We encourage you to exercise caution when meeting people through the Service.
Nyctof does not endorse, guarantee the quality of, or assume responsibility for any venues displayed in the Service.
To the maximum extent permitted by applicable law, Nyctof, Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to damages for loss of data, personal injury, or property damage.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to Nyctof, if any, in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Nyctof, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Ontario, Canada.
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
